PeakTime Perks: Thermostat Terms and Conditions

(Effective September 1, 2025)

Thank you for your interest in the CoServ PeakTime Perks Thermostat Program (the “Program”), a service offered by Denton County Electric Cooperative, Inc., d/b/a CoServ Electric ("CoServ").

THE PROGRAM IS OFFERED UNDER THE TERMS AND CONDITIONS SET FORTH IN THIS PROGRAM AGREEMENT ("AGREEMENT") AND ON THE CONDITION THAT YOU ACCEPT AND COMPLY WITH SUCH TERMS AND CONDITIONS. COSERV RESERVES THE RIGHT TO MAKE CHANGES TO ANY OF THE TERMS AND CONDITIONS OF THE PROGRAM IN ITS SOLE DISCRETION, INCLUDING BUT NOT LIMITED TO TERMINATING THE PROGRAM. COSERV WILL PROVIDE WRITTEN NOTICE OF ANY CHANGES TO ITS MEMBERS PARTICIPATING IN THE PROGRAM AT THE TIME OF SUCH CHANGES, WHICH NOTICE MAY BE PROVIDED BY POSTING THE CHANGES OR REVISED AGREEMENT TO COSERV’S WEBSITE.

BY SIGNING UP FOR AND CONTINUING PARTICIPATION IN THE PROGRAM YOU (A) ACCEPT, AND AGREE THAT YOU ARE LEGALLY BOUND BY, THE TERMS AND CONDITIONS OF THIS AGREEMENT; AND (B) REPRESENT AND WARRANT THAT YOU ARE OF LEGAL AGE TO ENTER INTO A BINDING AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT PARTICIPATE IN THE PROGRAM.

The Program is available only to CoServ residential electric customers who meet certain eligibility requirements which require you to: (1) be a CoServ residential electric service account holder; (2) have an 802.11 wireless network connected to an installed Honeywell or ecobee Smart Thermostat (collectively, “Smart Thermostat”) at the related CoServ residential service address; (3) have your Smart Thermostat active and controlling the operation of an air conditioning unit at your CoServ residential service address; and (4) agree to the terms of this Agreement (the "Minimum Eligibility Requirements"). CoServ shall verify your eligibility prior to your participation in the Program and CoServ can deny or terminate your participation in the Program for any reason whatsoever without notice to you.

You authorize CoServ to share information with Honeywell and ecobee about your energy usage and associated account and billing data in order for Honeywell and ecobee to evaluate and improve their products and services. Such information includes, but is not limited to, your name, address, account information, energy consumption and billing data,
billing records, billing history, meter usage data, and rate information. Your credit card, checking account, or any other similar payment information will not be shared by CoServ.

You authorize CoServ to have access to certain information (including, but not limited to, your name, email address, service address, CoServ account number, Smart Thermostat serial number, activation date of the Smart Thermostat, Honeywell or ecobee account status, runtime data of the Smart Thermostat, the setpoints of the Smart Thermostat and as determined by CoServ under the Program, Smart Thermostat account information and other related details) to allow CoServ to verify that you meet the Minimum Eligibility Requirements and are eligible to participate in the Program, and to evaluate the comprehensive energy impact of the Smart Thermostat.

The time period of the PeakTime Perks Thermostat Program ("PTP Participation Period") shall be the period beginning on June 1 of any calendar year and ending on September 30 of the same calendar year. CoServ residential electric service account holders participating in the Program agree that the term of your participation in the Program during any PTP Participation Period shall begin on the date of enrollment of your Smart Thermostat in the Program.

For each PTP Participation Period that you participate in the Program, you will receive up to a $40 account credit for that calendar year (the “Annual Credit”). The Annual Credit will be applied over four (4) consecutive monthly credits of $10 per month for each full billing period that you complete in the PTP Participation Period for that calendar year (the “Monthly Credit”). The Monthly Credit will appear on each of your June-September CoServ billing statements. If your participation in the Program is terminated by you or CoServ at any time during the PTP Participation Period, then you will only be entitled to the portion of the Annual Credit for each full billing period that you participated in and completed during the PTP Participation Period for that calendar year. The Annual Credit under the Program is limited to one Annual Credit per residential household.

You represent and warrant that the information you have provided as part of this Agreement is true and correct and you meet the Minimum Eligibility Requirements. You further agree that CoServ may terminate this Agreement, refuse to enroll you in the Program, or terminate your enrollment in the Program if you are not truthful in the information you submit as part of this Agreement, if you do not satisfy the Minimum Eligibility Requirements, or for any other reason whatsoever, with or without notice to you. You agree that you are participating in the Program on a voluntary basis and that you can terminate your participation in the Program at any time by providing notice via email to CoServ at contact@coserv.com.

You release and hold harmless CoServ, Honeywell, and ecobee from any liability, claim, demand, cause of action, damage or expense resulting from your participation in the Program.

This Agreement is effective upon your enrollment in the Program, and it will continue until you or CoServ cancels your participation in the Program or CoServ terminates the Program.
